1. Agreement Overview

1.1 Parties and Scope

These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and Baitwater Marketing Management LLC ("Mindpillar," "Baitwater," "Bitcoinsensus," "Company," "we," "us," or "our"), governing your access to and use of the Mindpillar platform (https://www.mindpillar.com), educational content, courses, and services (collectively, the "Platform").

1.2 Acceptance

By accessing, browsing, or using the Platform, creating an account, or purchasing any courses or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies. If you do not agree to these Terms, you must not use the Platform.

1.3 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Educational Services

2.1 Educational Purpose Only

Mindpillar provides cryptocurrency and trading education through courses, content, tutorials, community services, and related materials ("Educational Content"). Educational Content includes, without limitation, all online materials, videos, written lessons, downloadable digital products (such as PDFs, ebooks, and guides), community discussions, daily market analysis, trading setups, and any other resources made available through the Platform or our Community services. All content is provided for educational and informational purposes only and does not constitute financial, investment, trading, or legal advice.

2.2 No Investment Advisory Services

We are not registered investment advisors, brokers, or financial planners. Nothing on the Platform should be construed as personalized investment advice, recommendations to buy or sell specific assets, or guaranteed trading strategies. You are solely responsible for your investment decisions.

2.3 Course Structure and Access

Educational Content is organized into courses, modules, downloadable digital products, and supplementary materials. For courses and subscriptions, access is granted upon payment and remains active according to your subscription or purchase terms. For downloadable digital products, you must download within 30 days of purchase; re-delivery thereafter is at our discretion.

2.4 The Trader Playbook

In addition to courses and other Educational Content, the Platform may offer a specific downloadable digital product currently branded as “The Trader Playbook” or a substantially similar PDF ebook (the “Playbook”). The Playbook is a one‑time purchase downloadable PDF intended to help users bring more structure and consistency to their trading decisions

3. Course Presales and Early Access

3.1 Presale Offerings

Mindpillar may offer courses for presale before their official launch date ("Presale Courses"). Presale purchases provide early access to course materials at discounted pricing and may include additional benefits as specified during the purchase process.

3.2 Presale Terms

• Early Bird Pricing: Presale courses are offered at promotional rates that may increase upon official launch
• Development Timeline: Course content may be released progressively during development, with estimated completion dates provided as guidance only
• Content Evolution: Presale course content may undergo modifications, improvements, or restructuring before final release
• Access Rights: Presale purchasers receive lifetime access to the completed course and all updates, unless otherwise communicated

3.3 Presale Course Limitations

By enrolling in a presale course, you acknowledge and accept that:

• Not all course modules and supplementary documents may be immediately available
• The course platform may experience technical issues being actively resolved
• Some course features may not function as intended until final modules are released
• Final modules will be added within the timeline specified at time of purchase

3.4 Presale Refund Policy

Presale courses are non-refundable except as required by mandatory consumer protection laws in your jurisdiction, or where specific presale promotion terms provide alternative refund conditions

3.5 Development Delays

While we strive to meet projected timelines, course development may experience delays due to technical, regulatory, or market considerations. Specific refund rights for extended delays will be outlined in the applicable presale promotion terms.

3.6 Limited-Availability Offers

Some presale courses or promotions may have enrollment caps (e.g., limited seats). Once the cap is reached, the offer closes and no further enrollments are accepted at that promotional price. Baitwater is not obligated to provide the promotional price after the enrollment cap has been reached.

3.7 Early Access Programs & Pricing History

Baitwater may run limited early access programs at different prices for small groups (e.g., beta testers, community members) in exchange for feedback and testimonials. Such prior pricing creates no obligation to offer the same terms to new customers. Future pricing and promotional terms are at Baitwater's sole discretion.

4. Payment and Billing

4.1 Payment Methods

We accept various payment methods including credit cards, debit cards, digital wallets, and cryptocurrency payments. All payments are processed through secure third-party payment processors.

4.2 Pricing and Fees

Course prices are displayed in USD unless otherwise specified. Presale and promotional prices are temporary and subject to change. Baitwater reserves the right to:

• Adjust official launch prices upwards or downwards
• Introduce additional pricing tiers or promotions
• Change or discontinue offer elements for new customers
• Modify pricing after promotional periods end

4.3 Subscription Services

Certain Platform features may require ongoing subscriptions with recurring billing. Subscription terms, pricing, and billing cycles are clearly disclosed at the time of purchase. Automatic renewal applies unless cancelled before the renewal date.

4.4 Refund Policy

4.4.1 General Policy - All Purchases Are Non-Refundable (Except Playbook Guarantee)

Except as expressly provided in Sections 4.4.2–4.4.4 and 4.4.7, all purchases of courses, digital products (including PDFs/ebooks other than the Playbook defined in Section 2.4), and services as well as what is further defined in Section 2.1 are NON-REFUNDABLE and final.

4.4.2 Mandatory Consumer Protection Laws Override

Nothing in this policy limits rights granted by mandatory consumer protection laws in your country (e.g., EU Digital Content Directive, UK Consumer Rights Act, Australian Consumer Law) that cannot be waived by contract. If your jurisdiction grants statutory refund or withdrawal rights, those rights apply regardless of this policy. You are responsible for understanding your local rights.

4.4.3 Exception - Delivery Failure

If Baitwater fails to deliver promised materials by the stated deadline (or within a reasonable time if none specified), you may request a FULL REFUND at any time until delivery is completed.

4.4.4 Fraud & Unauthorized Transactions

If you suspect fraud or an unauthorized transaction, contact your bank immediately AND notify support@mindpillar.com. We cooperate with fraud investigations and issue refunds for verified unauthorized transactions.

4.4.5 Fraud Prevention

We reserve the right to deny refunds for abuse, including: Extensive content consumption prior to refund request; Multiple accounts accessing the same content; Intentional refund abuse or manipulation; Violation of Terms of Use

4.4.6 Processing

Approved refunds (for legal compliance, delivery failure, or technical errors) are processed within 7-10 business days to the original payment method. No partial or pro-rated refunds are provided unless legally required.

4.4.7 Voluntary 7‑Day Money‑Back Guarantee – Playbook Only

• Scope: Mindpillar offers a voluntary 7‑day money‑back guarantee (the “Playbook Guarantee”) only for the Playbook defined in Section 2.4. This guarantee does not apply to any other courses, products, services, or digital content.
• Guarantee Period: If, after purchasing the Playbook, you believe it does not help you bring more structure and consistency to your trading decisions, you may request a full refund within 7 calendar days from the date of purchase (as shown on your order confirmation email or receipt).
• How to Request a Refund: To exercise the Playbook Guarantee, you must email support@mindpillar.com within the 7‑day period with: (i) your full name, (ii) the email address used for purchase, and (iii) your order ID or transaction reference. If your request is received within the guarantee period, Mindpillar will issue a full refund of the purchase price of the Playbook to the original payment method within 7–10 business days, subject to applicable payment‑processor timelines.
• One‑Time Per Customer: Mindpillar may, at its reasonable discretion, limit the Playbook Guarantee to one refund per customer or per payment method to prevent abuse, while always respecting any mandatory statutory rights that cannot be limited.
• No Impact on Other Policies: The Playbook Guarantee does not change the non‑refundable nature of other courses, subscriptions, or digital products described in Section 4.4.1, which remain non‑refundable except as required by law or as set out in Sections 4.4.2–4.4.4.
• Additional to Statutory Rights: The Playbook Guarantee is a contractual, voluntary benefit offered by Mindpillar and is in addition to, and does not affect, any mandatory statutory rights you may have under applicable consumer protection laws (see Section 4.4.2).

5. MindPillar Community Membership

5.1 Community Overview

MindPillar offers an optional paid Telegram-based community ("Community") providing services including but not limited to educational market analysis, trading setups, educational content, and peer discussion. The Community is a separate product from course offerings, the PDF book, and other services that may be offered for a fee, and requires separate purchase.

5.2 Community Services

Community services may include, but are not limited to:

• Daily Bitcoin and altcoin market analysis (educational commentary)
• Macro market overviews and educational price scenarios
• Chart structure explanations and technical analysis education
• Educational trading setups with explanatory context
• Access to private livestreams and Q&A sessions
• Crypto news summaries and fundamental analysis notes
• Educational discussions on market psychology and risk management

IMPORTANT: All Community content is provided FOR EDUCATIONAL PURPOSES ONLY. Nothing in the Community constitutes financial advice, investment recommendations, trading signals, or inducements to buy/sell specific assets. See Section 9 (Disclaimers and Risk Warnings) for full details.

5.3 Community Pricing and "Lifetime" Access

Lifetime Community Access is offered as a one-time payment option at the price specified at time of purchase.

Definition of "Lifetime Access":

"Lifetime" means access to the Community for as long as:

• Baitwater continues to operate the Community service commercially, AND
• You remain in compliance with these Terms, AND
• You remain an active participant as defined in Section 5.7.

"Lifetime" does NOT mean:

• Your natural lifetime
• Guaranteed access regardless of Baitwater's business decisions
• Access if the Community is discontinued, merged, or replaced
• Protection from termination for Terms violations or inactivity

Baitwater reserves the right to:

• Modify Community features, services, or content at any time
• Migrate the Community to different platforms or formats
• Discontinue the Community entirely with 14 days' notice to active members
• Change pricing for NEW members (existing "Lifetime" members unaffected)

5.4 Community Membership Eligibility

To purchase Community access, you must:

• Be at least 18 years of age
• Have a valid Telegram account
• Accept the Community-specific Code of Conduct (Section 5.5)
• Understand that Community content is educational only and carries substantial trading risk

5.5 Community Code of Conduct

By joining the Community, you agree to:

Prohibited Conduct:

• Harassment, abuse, or disrespectful behavior toward members, moderators, or Baitwater staff
• Posting spam, promotional content, or unsolicited advertisements
• Sharing content that is illegal, defamatory, obscene, or violates third-party rights
• Impersonating others or creating multiple accounts
• Sharing screenshots, recordings, or proprietary Community content outside the Community without express written permission
• Soliciting other members for commercial purposes or recruiting for competing services
• Posting unsubstantiated claims, misinformation, or content designed to manipulate markets
• Excessive negativity, trolling, or disruptive behavior that degrades Community quality

Consequences:

Violation of the Code of Conduct may result in warnings, temporary suspension, or immediate permanent removal without refund, at Baitwater's sole discretion.

5.6 Educational-Only Nature of Community Content

CRITICAL DISCLAIMER:

All Community content—including daily analysis, trade setups, price scenarios, and commentary—is provided FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

The Community does NOT provide:

• Trading signals or recommendations to buy/sell specific assets
• Personalized investment advice or portfolio management
• Guaranteed trading strategies or profit outcomes
• Predictions of future price movements as factual statements
• Copy-trading functionality or automated trade execution

Any trade "setups" or "scenarios" shared in the Community:

• Are illustrative examples for educational discussion
• Represent personal opinions or hypothetical analysis
• Do NOT constitute recommendations or inducements to trade
• Carry substantial risk of loss and may not be suitable for all individuals

Your Responsibilities:

• You are solely responsible for all trading and investment decisions
• You must conduct your own due diligence and risk assessment
• You should consult qualified financial professionals before trading
• You accept that most traders lose money and past performance does not guarantee future results

5.7 Community Access Termination Rights

Baitwater reserves the right to terminate Community access immediately and without refund for:

(a) Violations of Terms or Code of Conduct Immediate termination for:

• Harassment, abusive behavior, or policy violations
• Posting prohibited content or engaging in disruptive conduct
• Sharing proprietary Community content without authorization
• Fraud, impersonation, or malicious activity

(b) Prolonged Inactivity:

Inactivity is defined as:

• No login or participation in the Community Telegram group for 90 consecutive days

OR

• Telegram status shows "away" or "inactive" for 90+ consecutive days (as visible via Telegram's platform indicators)

Inactivity Termination Process:

1. Day 90 of inactivity:Baitwater sends one (1) warning message via Telegram direct message and email (if on file)
2. 24-Hour Grace Period:You have 24 hours from warning delivery to respond or re-engage with the Community
3. No Response:If no response or engagement within 24 hours, your Community access is permanently terminated without refund
4. Reinstatement:No right to reinstatement. You may repurchase Community access at the then-current price (if available)

Rationale for Inactivity Termination:

Lifetime Community access is resource-intensive (daily content, moderation, hosting). Removing inactive members ensures Community sustainability, protects active member experience, and prevents "ghost" accounts from accumulating indefinitely.

You acknowledge and agree:

• It is YOUR responsibility to maintain active engagement or respond to inactivity warnings
• Baitwater is not liable for email/message delivery failures
• Inactivity termination does NOT constitute a breach of contract
• No refunds will be provided for inactivity-based terminations

(c) Business or Legal Necessity Baitwater may terminate Community access for:

• Legal or regulatory compliance requirements
• Platform changes (e.g., Telegram discontinuation or policy changes)
• Community discontinuation or restructuring
• Financial or operational necessity

Notice:Baitwater will provide 14 days' advance notice where reasonably possible (except for immediate legal/safety concerns)

5.8 Community Refund Policy

All Community purchases are NON-REFUNDABLEexcept as required by mandatory consumer protection laws in your jurisdiction.

No refunds will be provided for:

• Termination due to Code of Conduct violations
• Termination due to inactivity (failure to respond to 24-hour warning)
• Voluntary cancellation or non-use of Community access
• Dissatisfaction with Community content, members, or format
• Changes to Community features, pricing, or availability

Exception - Service Non-Delivery:If Baitwater fails to provide Community access for 30+ consecutive days due to Baitwater's fault (not platform outages, force majeure, or user conduct), you may request a pro-rated refund for the non-delivery period.

Mandatory Consumer Protection Laws Override:Nothing in this policy limits rights granted by mandatory consumer protection laws (EU, UK, Australia, Canada) that cannot be waived by contract.

5.9 Third-Party Platform Risks (i.e. Telegram)

The Community operates on Telegram, a third-party platform. You acknowledge:

• Baitwater does NOT control Telegram's availability, security, or policies
• Telegram outages, policy changes, or service disruptions are beyond Baitwater's control
• You are responsible for maintaining a valid Telegram account and complying with Telegram's Terms of Service
• Baitwater is not liable for any issues arising from Telegram's platform, including data breaches, account suspensions, or service interruptions

If Telegram discontinues or materially changes its service in a way that makes Community operation infeasible, Baitwater will migrate to an alternative platform or discontinue the Community with 30 days' notice.

5.10 Community Moderation and Content Removal

Baitwater and its moderators reserve the right to:

• Remove messages, media, or content that violates Terms or Community standards
• Issue warnings, temporary mutes, or suspensions before permanent removal
• Monitor Community activity to enforce Terms and maintain quality
• Share user conduct information with law enforcement if legally required

You have NO ownership rights to:

• Community content posted by Baitwater, moderators, or other members
• Discussions, analysis, or educational materials shared in the Community
• Access to historical Community content after termination

6. Course Purchases

6.1 Modular Course Offerings - "Path to Trading Consistency"

In addition to the full "Path to Trading Consistency" course, MindPillar may offer individual course units or modules for separate purchase ("Modular Courses"). Modular offerings may include:

• Beginner Unit (specific modules as defined at purchase)
• Intermediate Unit (specific modules as defined at purchase)
• Advanced / Master Unit (specific modules as defined at purchase)

6.2 Modular Course Pricing - "Path to Trading Consistency"

Modular Courses are priced individually as specified at time of purchase. Current pricing:

• Beginner Unit: $299 USD
• Intermediate Unit: $399 USD
• Advanced / Master Unit: $549 USD
• Full Course (all units): $999 USD

Pricing Notes:

• Individual unit prices are SEPARATE purchases and do NOT include other units
• Purchasing all units separately costs MORE than purchasing the Full Course bundle
• Baitwater reserves the right to adjust pricing for new purchases at any time
• Previous purchasers' pricing and access rights remain unaffected by future price changes

6.3 Modular Course Access Rights - "Path to Trading Consistency"

Each Modular Course purchase grants:

• Lifetime access to the specific modules included in that unit ONLY
• Access to updates and improvements to those specific modules
• NO access to other course units unless separately purchased

Cross-Unit Access:

• Purchasing multiple Modular Courses does NOT automatically unlock additional content
• Each unit must be purchased separately unless you purchase the Full Course bundle
• No "upgrade discounts" are guaranteed; Baitwater may offer promotional upgrade pricing at its discretion

6.4 Modular Course Refund Policy - "Path to Trading Consistency"

Modular Courses follow the same refund policy as outlined in Section 4.4:

• All purchases are NON-REFUNDABLE except as required by mandatory consumer protection laws
• Exception for delivery failure (Section 4.4.3)
• No refunds for partial completion, dissatisfaction, or non-use

7. Promotions, Discounts & Coupon Codes

7.1 Email Opt-In Discount Program

MindPillar offers an ongoing promotional discount to new users who enroll in the eligible free course and consent to receive marketing communications.

7.2 Eligibility & Mechanics:

Users who enroll in the free D-line Strategy course and provide explicit consent to receive marketing emails by ticking the email-marketing opt-in box will receive a single-use 5% discount code via email.

The 5% discount is calculated on the final purchase price after all other generally available discounts, sales prices, or promotional reductions have been applied. For example, if a course is listed at $100 and is on sale for $80, the 5% email opt-in discount will be calculated on the $80 sale price, resulting in a final price of $76.

The discount code applies to eligible paid MindPillar courses only. It excludes 1:1 coaching, consulting services, bundled offers, Community access and any products or services where stacking discounts is explicitly prohibited.

Discount codes are personal, non-transferable, and limited to one per person/email address. Each code is valid for 30 days from the date of issue and must be redeemed during this period. The discount cannot be combined with other promotional offers unless expressly permitted.

7.3 Age & Geographic Restrictions:

This offer is available only to individuals 18 years of age or older.

The offer may not be available in all jurisdictions. MindPillar reserves the right to restrict or exclude certain geographic locations from eligibility based on local law or operational considerations.

7.4 Email Marketing Consent:

By opting in to receive the discount code, you are providing explicit consent to receive marketing emails from MindPillar in accordance with our Privacy Policy.

You may withdraw your consent (unsubscribe) at any time by following the unsubscribe instructions in our emails. Withdrawing consent does not affect discount codes already issued or purchases already made.

7.5 Consent Records

MindPillar maintains records of all email marketing consents, including the date, time, method of consent, and IP address (where applicable). These records may be provided to you upon request and are retained in accordance with our data retention policy and applicable law.

7.6 Email Content

Marketing emails will include clear sender identification, an unsubscribe link, and will comply with content standards in your jurisdiction. In some jurisdictions (e.g., Singapore), marketing emails may include "AD" or "Advertisement" in the subject line as required by local law.

7.7 General Coupon Terms

MindPillar reserves the right to modify, suspend, or discontinue any promotional offer at any time, prospectively, without prior notice. Any such changes will not affect discount codes already issued prior to the change.

Discount codes have no cash value and cannot be exchanged, refunded, or transferred.

MindPillar reserves the right to void any discount code that is obtained, used, or distributed fraudulently, in violation of these Terms, or in any manner inconsistent with the intended purpose of the promotion.

In the event of any dispute regarding eligibility, code validity, or redemption, MindPillar's determination shall be final.

7.8 Jurisdictional Compliance

Our email marketing practices comply with applicable laws in all jurisdictions where we operate, including but not limited to GDPR (EU), UK GDPR, CAN-SPAM Act (US), CASL (Canada), Spam Act (Australia), PDPA (Singapore), PDPO (Hong Kong), and APPI (Japan). Where local law imposes stricter requirements, those requirements will govern.

7.9 Educational Services Disclaimer

All promotional discounts apply solely to educational course purchases. MindPillar provides educational content only and does not offer investment advice, trading signals, or brokerage services. Trading involves substantial risk of loss and is not suitable for everyone. See our Risk Disclosure for full details.

8. Intellectual Property

8.1 Platform Content Ownership

All Educational Content, including text, videos, graphics, logos, course materials, and proprietary trading methodologies, are owned by Mindpillar or licensed for our use. This content is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

You receive a non-exclusive, non-transferable, perpetual (for one-time purchases) or revocable (for subscriptions) license to access and use Educational Content solely for personal, non-commercial educational purposes. For downloadable digital products, this license is perpetual but non-transferable. This license terminates immediately upon violation of these Terms or cessation of your authorized access to subscription-based content.

8.3 Prohibited Uses

You may not:

• Copy, reproduce, distribute, or create derivative works from Educational Content
• Share login credentials or provide unauthorized access to others
• Redistribute, publicly share, or resell Educational Content (including courses, videos, PDFs, and downloadable materials)
• Use Educational Content for commercial training or resale purposes
• Record or screen-capture video content without express written permission
• Reverse engineer or attempt to extract proprietary trading algorithms or methodologies

9. User Conduct and Responsibilities

9.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access or security breaches.

9.2 Acceptable Use

Platform use must comply with all applicable laws and regulations. Prohibited activities include:

• Harassment, abuse, or inappropriate conduct toward other users or staff
• Posting false, misleading, or defamatory content
• Attempting to circumvent security measures or access restrictions
• Using the Platform for illegal activities or regulatory violations
• Impersonating others or providing false information

9.3 Trading Responsibility

Any trading or investment activities you undertake based on Educational Content are entirely at your own risk. You acknowledge that:

• Trading involves substantial risk and most traders lose money
• Past performance does not guarantee future results
• Market conditions can change rapidly and unpredictably
• You should never invest more than you can afford to lose completely

10. Disclaimers and Risk Warnings

10.1 Educational Disclaimer

Mindpillar provides educational information only. We make no guarantees about trading success, profitability, or investment outcomes. All trading examples and case studies are for illustrative purposes and do not represent typical results.

10.2 Market Risk Warning

Cryptocurrency and trading markets are highly volatile and speculative. Prices can fluctuate dramatically, and you may lose your entire investment. Consider your financial circumstances, risk tolerance, and investment objectives before trading.

10.3 Regulatory Compliance

You are solely responsible for complying with all applicable laws and regulations in your jurisdiction regarding trading, taxation, and financial activities. Consult qualified professionals before making financial decisions.

10.4 Platform Availability

While we strive for continuous service, the Platform may experience interruptions due to maintenance, technical issues, or extraordinary circumstances. We do not guarantee uninterrupted access or error-free operation.

10.5 Performance Statistics & Track Record Disclosure

Performance metrics, statistics, or results mentioned in connection with our educational materials may represent:

• Individual trader performance
• Past performance does not guarantee future results
• Team performance (e.g., Bitcoinsensus Trading team)
• Historical backtests or simulation results

Past performance does not guarantee future results. Any mention of profits, returns, or results is for educational illustration only and does not constitute a promise or guarantee of similar outcomes. Verify all performance claims independently before making purchasing decisions.

10.6 Community-Specific Disclaimers

Educational Market Analysis

The MindPillar Community provides educational market analysis, trading methodology instruction, and illustrative examples of technical analysis application. When content references specific assets, price levels, or trading parameters, such references are provided solely to demonstrate trading concepts and analytical frameworks.

Educational Nature:

• All "setups," "scenarios," and "analysis" are educational illustrations
• Content demonstrates HOW professional traders analyze markets (teaching methodology)
• Specific price levels or parameters are used as teaching examples, not instructions
• You must independently evaluate and apply concepts to your own trading decisions

No Investment Advice

Nothing in the Community—including daily analysis, livestreams, Q&A, or member discussions—constitutes personalized investment advice. Baitwater and its moderators are NOT your investment advisors and do not have a fiduciary duty to you.

• Educational illustrations of technical analysis concepts
• Hypothetical examples for learning purposes
• NOT recommendations, inducements, or instructions to trade

Third-Party Content

Community members may share their own opinions, analysis, or trading experiences. Such content:

• Represents personal views of individual members, NOT Baitwater's views
• Is NOT vetted, endorsed, or verified by Baitwater
• May be inaccurate, misleading, or harmful if acted upon
• Should NEVER be relied upon as investment advice or trading recommendations

Performance Claims and Testimonials

Any mention of trading results, performance metrics, or testimonials in the Community (whether from Baitwater, moderators, or members):

• Represents individual experiences that are NOT typical
• Does NOT guarantee similar results for you
• May not be independently verified

11. Limitation of Liability

11.1 Liability Limits

To the maximum extent permitted by law, Mindpillar's liability for any damages arising from or related to these Terms or Platform use shall not exceed the amounts you have paid to us in the twelve months preceding the claim.

11.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, lost profits, lost data, or business interruption, regardless of the legal theory and whether we have been advised of the possibility of such damages.

11.3 Third-Party Services

The Platform may integrate with or reference third-party services, tools, or websites. We are not responsible for the availability, accuracy, or content of such third-party services and disclaim all liability related to your use of them.

12. Termination

12.1 Termination Rights

Either party may terminate this agreement at any time. You may close your account through Platform settings or by contacting support. We may suspend or terminate your access for violations of these Terms, suspicious activity, or legal requirements.

12.2 Effect of Termination

Upon termination:

• Your access to subscription-based Platform features and content along with subscription-based Educational Content will cease
• One-time purchases (courses, downloadable digital products) remain accessible per the perpetual license granted in Section 6.2, subject to continued compliance with Section 6.3
• Outstanding payment obligations remain in effect
• Sections regarding liability, intellectual property, and dispute resolution survive termination

13. Dispute Resolution

13.1 Informal Dispute Resolution

Before initiating arbitration, you agree to first attempt to resolve any dispute by contacting support@mindpillar.com. Baitwater will attempt to resolve disputes informally within 30 days. This does not waive your right to arbitration if informal resolution fails.

13.2 Binding Arbitration

Any disputes arising from these Terms or Platform use shall be resolved through binding arbitration rather than court proceedings, except for small claims court matters or intellectual property disputes.

13.3 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration against Mindpillar. Disputes must be brought individually.

13.4 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any arbitration proceedings shall be conducted in Dubai, United Arab Emirates, under the rules of the Dubai International Arbitration Centre (DIAC).

14. General Provisions

14.1 Terms Modification

We may update these Terms to reflect service changes, legal requirements, or business developments. Material changes will be communicated through the Platform or email with at least 30 days' notice.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

Baitwater Marketing Management LLC aims to comply with applicable consumer protection and advertising laws in all jurisdictions where we operate, including but not limited to: EU Regulations (MiCA, UCPD), UK FCA rules, US FTC rules, and Canada Competition Act.

14.5 Mandatory Consumer Protection Laws

Nothing in these Terms limits any rights you may have under mandatory consumer protection laws in your country that cannot be waived by contract.

14.6 Effective Date & Updates

These Terms are effective as of the "Last Updated" date specified at the top of this document. This version supersedes all previous versions. Your continued use of the Platform after this date constitutes acceptance of these updated Terms.
