1. Agreement Overview

1.1 Parties and Scope

These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and Baitwater Marketing Management LLC ("Mindpillar," "Company," "we," "us," or "our"), governing your access to and use of the Mindpillar platform (https://www.mindpillar.com), educational content, courses, and services (collectively, the "Platform").

1.2 Acceptance

By accessing, browsing, or using the Platform, creating an account, or purchasing any courses or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies. If you do not agree to these Terms, you must not use the Platform.

1.3 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Educational Services

2.1 Educational Purpose Only

Mindpillar currently provides cryptocurrency and trading education through courses, content, tutorials, and related materials ("Educational Content"). All content is provided for educational and informational purposes only and does not constitute financial, investment, trading, or legal advice.

2.2 No Investment Advisory Services

We are not registered investment advisors, brokers, or financial planners. Nothing on the Platform should be construed as personalized investment advice, recommendations to buy or sell specific assets, or guaranteed trading strategies. You are solely responsible for your investment decisions.

2.3 Course Structure and Access

Educational Content is organized into courses, modules, and supplementary materials. Course access is granted upon payment and remains active according to your subscription or purchase terms. We reserve the right to update, modify, or discontinue courses at our discretion with reasonable notice.

3. Course Presales and Early Access

3.1 Presale Offerings

Mindpillar may offer courses for presale before their official launch date ("Presale Courses"). Presale purchases provide early access to course materials at discounted pricing and may include additional benefits as specified during the purchase process.

3.2 Presale Terms

  • Early Bird Pricing: Presale courses are offered at promotional rates that may increase upon official launch
  • Development Timeline: Course content may be released progressively during development, with estimated completion dates provided as guidance only
  • Content Evolution: Presale course content may undergo modifications, improvements, or restructuring before final release
  • Access Rights: Presale purchasers receive lifetime access to the completed course and all updates, unless otherwise communicated

3.3 Presale Refund Policy

Presale courses are eligible for full refund if:

  • Requested within 7 days of purchase and before accessing any course materials
  • The course development is cancelled or indefinitely postponed by Mindpillar
  • The final course content substantially differs from the described curriculum without reasonable justification

3.4 Development Delays

While we strive to meet projected timelines, course development may experience delays due to technical, regulatory, or market considerations. Delays do not constitute grounds for refund unless exceeding 180 days from the originally estimated completion date.

4. Payment and Billing

4.1 Payment Methods

We accept various payment methods including credit cards, debit cards, digital wallets, and cryptocurrency payments. All payments are processed through secure third-party payment processors.

4.2 Pricing and Fees

Course prices are displayed in USD unless otherwise specified. Prices may vary based on promotional offers, early access discounts, or subscription tiers. Additional fees may apply for premium services or certifications.

4.3 Subscription Services

Certain Platform features may require ongoing subscriptions with recurring billing. Subscription terms, pricing, and billing cycles are clearly disclosed at the time of purchase. Automatic renewal applies unless cancelled before the renewal date.

4.4 Refund Policy

  • Standard Courses: Money-back guarantee if no more than one module of the course content has been accessed within 7 days of obtaining the course; otherwise, no refund will be possible
  • Presale Courses: As specified in Section 3.3
  • Subscription Services: Pro-rated refunds may be provided at our discretion
  • Processing: Refunds are processed within 7-10 business days to the original payment method

5. Intellectual Property

5.1 Platform Content Ownership

All Educational Content, including text, videos, graphics, logos, course materials, and proprietary trading methodologies, are owned by Mindpillar or licensed for our use. This content is protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

You receive a non-exclusive, non-transferable, revocable license to access and use Educational Content solely for personal, non-commercial educational purposes. This license terminates immediately upon violation of these Terms or cessation of your authorized access.

5.3 Prohibited Uses

You may not:

  • Copy, reproduce, distribute, or create derivative works from Platform content
  • Share login credentials or provide unauthorized access to others
  • Record, download, or redistribute course materials without express written permission
  • Use Educational Content for commercial training or resale purposes
  • Reverse engineer or attempt to extract proprietary trading algorithms or methodologies

6. User Conduct and Responsibilities

6.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access or security breaches.

6.2 Acceptable Use

Platform use must comply with all applicable laws and regulations. Prohibited activities include:

  • Harassment, abuse, or inappropriate conduct toward other users or staff
  • Posting false, misleading, or defamatory content
  • Attempting to circumvent security measures or access restrictions
  • Using the Platform for illegal activities or regulatory violations
  • Impersonating others or providing false information

6.3 Trading Responsibility

Any trading or investment activities you undertake based on Educational Content are entirely at your own risk. You acknowledge that:

  • Trading involves substantial risk and most traders lose money
  • Past performance does not guarantee future results
  • Market conditions can change rapidly and unpredictably
  • You should never invest more than you can afford to lose completely

7. Disclaimers and Risk Warnings

7.1 Educational Disclaimer

Mindpillar provides educational information only. We make no guarantees about trading success, profitability, or investment outcomes. All trading examples and case studies are for illustrative purposes and do not represent typical results.

7.2 Market Risk Warning

Cryptocurrency and trading markets are highly volatile and speculative. Prices can fluctuate dramatically, and you may lose your entire investment. Consider your financial circumstances, risk tolerance, and investment objectives before trading.

7.3 Regulatory Compliance

You are solely responsible for complying with all applicable laws and regulations in your jurisdiction regarding trading, taxation, and financial activities. Consult qualified professionals before making financial decisions.

7.4 Platform Availability

While we strive for continuous service, the Platform may experience interruptions due to maintenance, technical issues, or extraordinary circumstances. We do not guarantee uninterrupted access or error-free operation.

8. Limitation of Liability

8.1 Liability Limits

To the maximum extent permitted by law, Mindpillar's liability for any damages arising from or related to these Terms or Platform use shall not exceed the amounts you have paid to us in the twelve months preceding the claim.

8.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, lost profits, lost data, or business interruption, regardless of the legal theory and whether we have been advised of the possibility of such damages.

8.3 Third-Party Services

The Platform may integrate with or reference third-party services, tools, or websites. We are not responsible for the availability, accuracy, or content of such third-party services and disclaim all liability related to your use of them.

9. Termination

9.1 Termination Rights

Either party may terminate this agreement at any time. You may close your account through Platform settings or by contacting support. We may suspend or terminate your access for violations of these Terms, suspicious activity, or legal requirements.

9.2 Effect of Termination

Upon termination:

  • Your access to the Platform and Educational Content will cease
  • Paid course access may be retained according to purchase terms
  • Outstanding payment obligations remain in effect
  • Sections regarding liability, intellectual property, and dispute resolution survive termination

10. Dispute Resolution

10.1 Binding Arbitration

Any disputes arising from these Terms or Platform use shall be resolved through binding arbitration rather than court proceedings, except for small claims court matters or intellectual property disputes.

10.2 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration against Mindpillar. Disputes must be brought individually.

10.3 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any arbitration proceedings shall be conducted in Dubai, United Arab Emirates, under the rules of the Dubai International Arbitration Centre (DIAC).

11. General Provisions

11.1 Terms Modification

We may update these Terms to reflect service changes, legal requirements, or business developments. Material changes will be communicated through the Platform or email with at least 30 days' notice.

11.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

11.4 Effective Date

These Terms are effective as of the date mentioned in the beginning and supersede all previous versions.

By using Mindpillar, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. Trade responsibly and within your means.
